The Business Entity Annual Report service allows organizations registered in Montana to file their annual report online. This service is available to both foreign and domestic corporations and LLC's. Filing your annual report online is fast and easy.

If you are a corporation, a signature of the presiding officer of the Board of Directors, the President, another of the Corporation's Officers, or the Corporation's authorized agent is required.

If you are a Limited Liability Company, a signature of a managing manger/member, or the Limited Liability Company's authorized agent is required.

The filing fee is $20.00 if filed before 5pm (MST) on April 15th, and increases to $35.00 after 5 pm (MST) on April 15th. You can securely use a credit card or debit card.

The Secretary of State’s office will not accept a Foreign annual report after 5pm on October 31st. All Foreign Corporations and LLC’s will be involuntarily revoked November 1st if the annual report is not filed by 5pm (MST) October 31st.

The Secretary of State’s office will not accept a Domestic annual report after 5pm on November 28th. All Domestic Corporations and LLC’s will be involuntarily dissolved December 1st if the annual report is not filed by 5pm November 28th(MST).

Simply enter your Folder ID number or your business name to begin your filing. When entering your ID number do not use spaces or hyphens. If you are unsure of your ID number, enter your business name in the field provided or find your Folder ID by using the Business Entity Search.  Select "Submit" or “Find” to proceed with filing your report. 

If you chose to enter your business name, you will be provided with a list of businesses that match your search.  Select your business from the list or return to the home page to refine your search if your business name did not appear. 

Once you have entered your business name or Folder ID, follow the following three easy steps.

Step 1: Confirm that you are filing the annual report for your organization. Proceed on to the pre-filled, editable page with all of your organization's information. Here you are able to make changes by just typing the new information in the editable text boxes. You may also add and delete information.  

The registered agent section allows you to choose a Limited Partnership, Corporation or an LLC for a registered agent.  Additionally you can select a commercial agent from a drop down list of commercial agents, enter an ORG ID or an individual name.

Note:  if you select a commercial agent from the dropdown you can not modify the agent’s name or address. 

Once all appropriate changes have been made, select 'Continue' to verify your changes.

Step 2: Verify your filing. Any changes to your filing will appear along with original filing information. If you need to make further edits, select 'Back'. If all information is correct, enter your name as the 'Submitter' enter your email address and select 'Submit' to file your report.

Step 3: Make your payment. All reports filed January 1 through April 15 will be assessed a $20 filing fee. Reports filed after 5pm on April 15 will be assessed a $35 filing fee. Select the payment option you wish to use. If you are a registered user of mt.gov, you have the option to have the fee billed to your account. You may also make payment through Visa, MasterCard or American Express credit/debit card. Select 'Submit for Purchase' to make your payment.

Step 4: You will receive confirmation that your report was submitted to the Secretary of State’s office for review.

To review the information being submitted to the Secretary of State’s office select “View Filing” from the confirmation page.

When your annual report has been successfully filed and recorded by the Secretary of State’s office an e-mail confirmation of the filing will be sent to the submitter's email address Your Annual Report is not considered properly filed until you have received your e-mail confirmation.

Step 5: Your submitted Annual Report remains in a “pending” status until the following two items have been successfully completed:

  1. The Annual Report passes review by the Secretary of State’s Office and,
  2. Your payment by credit/debit card or registered user account has been successfully deducted from your account.

A representative from mt.gov or the Secretary of State’s office will make an effort to contact you if your filing does not process completely. You will receive an e-mail confirmation following the successful filing of your annual report.
